Terms of Service

These Terms of Service ("Terms") set out the agreement between you and FinZot LLC ("FinZot," "we," "us," or "our") regarding your access to and use of FinZot, our website at finzot.com, our web application at app.finzot.com, and any related tools, calculators, and services we make available (together, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, please do not use the Service. We also encourage you to read our Privacy Policy, which explains how we handle your information and is incorporated into these Terms by reference.

1. Definitions

To keep these Terms readable, a few capitalized words are used throughout:

"Account" means the personal account you register in order to use features of the Service.

"Content" means any text, data, images, calculations, projections, and other materials made available through the Service.

"User Content" means anything you create, enter, upload, or submit through the Service.

"Service" has the meaning given above and includes any software we provide to deliver it.

2. Eligibility

The Service is intended for adults managing their own financial planning. By using it, you represent that you are at least 18 years old and able to enter into a binding agreement. The Service is not directed to children, and we do not knowingly collect information from anyone under 18. If you believe a minor has used the Service, please contact us at support@finzot.com.

3. Your Account

You are responsible for the information you provide and for keeping your login credentials confidential. You agree to provide accurate, current, and complete details, to keep them up to date, and to take reasonable steps to protect your Account. You are responsible for activity that occurs under your Account, and you agree to notify us promptly at support@finzot.com if you suspect any unauthorized access or other security concern.

4. Subscriptions and Billing

Free and paid access. We offer a free tier of the Service that you can use without payment. Certain features, or more use of them, are available only through a paid subscription (a "Subscription"). What the free tier and each paid plan include, and their prices, may change over time as described below. We do not currently offer a free trial of any paid plan.

Automatic renewal. Paid plans are billed in advance for the billing period shown at checkout, currently one year. Your Subscription continues and renews automatically at the end of each billing period until you cancel it, and at each renewal your payment method is charged the then-current price of your Subscription for the next period, plus any applicable taxes. By purchasing a Subscription, you authorize us and our payment processor to charge your payment method for the initial term and for each renewal term until you cancel.

Price and plan changes. We may change Subscription prices or the features included in a plan. If a change would affect the price you pay on renewal, we will give you notice before it takes effect, and a new price will apply from your next billing period. If you do not agree to a change, you may cancel before it takes effect; continuing your Subscription after the change takes effect means you accept the new price or plan.

Cancellation. You may cancel your Subscription online at any time from the "Manage Subscription" area of your account; you do not need to contact us. Cancelling stops future renewals and takes effect at the end of your current billing period: you will retain access to paid features until the end of the period you have already paid for, after which your access will revert to the free tier. Except as described under Refunds, cancelling does not refund the current period.

Refunds. If you are not satisfied with a paid plan, email us at support@finzot.com within 30 days of purchasing it and we will refund that purchase in full to your original payment method. A refund also cancels the Subscription at once, so your Account returns to the free tier when the refund is issued rather than at the end of the billing period. Outside that 30-day window, Subscription fees are non-refundable except where required by law, though we review other refund requests in good faith on a case-by-case basis.

Payment processing. We use a third-party payment processor to bill you and to handle payment details such as updating your payment method and viewing your invoices. Your payments are also subject to that processor's terms and privacy policy, and you authorize us to share payment information with it as needed to provide and manage your Subscription.

Taxes. Prices shown may not include applicable taxes. Where we are required to collect taxes, they will be added to your charge.

5. The Service Is for Education and Information Only — Not Financial Advice

The Service exists to help you explore and organize ideas about your own financial future. It does not provide, and should not be relied on as, financial, investment, tax, accounting, or legal advice, and using it does not create any advisory, fiduciary, or professional relationship between you and us.

Any figures, projections, scenarios, or comparisons the Service generates are illustrative estimates based on the assumptions and data you enter. They are inherently uncertain, may differ from results shown by financial institutions or other providers, and are not a substitute for a complete financial plan. Before making any investment or significant financial decision, we strongly encourage you to consult a qualified professional who owes a fiduciary duty to you and who can account for your full circumstances. You are solely responsible for any decisions you make, and you agree not to treat the Service as a replacement for personalized professional advice.

6. Acceptable Use

We ask that you use the Service lawfully and respectfully. You agree that you will not:

  • use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
  • upload or transmit viruses, malware, or any code intended to disrupt or damage the Service or other users;
  • attempt to gain unauthorized access to the Service, other users' accounts, or our systems and networks;
  • interfere with, overload, or impair the normal operation of the Service or the infrastructure that supports it;
  • use bots, scrapers, crawlers, or other automated means to access or collect data from the Service without our prior written permission;
  • copy, modify, distribute, sell, sublicense, lease, or create derivative works from any part of the Service except as expressly permitted;
  • misrepresent your identity or your affiliation with any person or organization; or
  • post or transmit content that is abusive, defamatory, obscene, infringing, or that violates the rights or privacy of others.

We may suspend or end access for conduct that violates these Terms.

7. Intellectual Property

The Service, including its software, design, text, graphics, and other Content (other than User Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable license to access and use the Service for your own non-commercial financial planning. All rights not expressly granted are reserved. You may not reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent the law permits despite this restriction.

8. Your Content

You keep ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process it as needed to operate, maintain, and improve the Service and to provide it to you. You are responsible for your User Content and represent that you have the rights necessary to submit it and that it does not infringe anyone else's rights or violate any law. If you submit feedback or suggestions, you agree we may use them to improve the Service without obligation to you.

9. Third-Party Links and Services

The Service may link to or integrate with websites, tools, or services operated by others. We do not control those third parties and are not responsible for their content, availability, products, policies, or practices. Your dealings with any third party, and your use of any third-party service or integration, are at your own risk and subject to that third party's own terms and privacy practices.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any results or estimates it produces will be accurate or reliable. You assume full responsibility for your use of the Service and any decisions based on it.

11. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages. To the extent we are found liable despite the above, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold us and our officers, employees, and agents harmless from any claims, damages, losses, liabilities, and reasonable legal costs arising out of or connected with your use of the Service, your User Content, or your breach of these Terms or of any law or third-party right. We may, at our own expense, assume the exclusive defense of any such matter, in which case you agree to cooperate with us.

13. Termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you breach these Terms, if required to comply with law or a government request, or if we discontinue the Service. Provisions that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

14. Changes to the Service

We may modify, update, or discontinue any part of the Service at any time. We will try to give notice of significant changes through the website or by email, but we are not liable for any modification, suspension, or discontinuation of the Service or any part of it.

15. Changes to These Terms

We may update these Terms from time to time. The most current version will always be posted on the Service and identified by the "Last updated" date above. You agree that posting the revised Terms on the Service constitutes adequate notice to you of the changes, and that we are not required to notify you of changes individually. Changes take effect when posted, and your continued use of the Service after that point means you accept the updated Terms. Because of this, you should review these Terms periodically before using the Service.

16. Force Majeure

We will not be liable or responsible for any failure or delay in performing our obligations under these Terms where that failure or delay results from causes beyond our reasonable control. These causes include, without limitation, natural disasters, fire, flood, severe weather, epidemics or pandemics, acts of government or regulators, civil unrest, war or terrorism, labor disputes, power or telecommunications failures, and failures or disruptions of third-party services, networks, or infrastructure on which the Service depends. If such an event occurs, our affected obligations will be suspended for the duration of the event.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute that cannot be resolved informally will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to the jurisdiction of those courts. We encourage you to contact us first at support@finzot.com so we can try to resolve any concern directly.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms we present for specific features, make up the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.
